MaxContact is a leading, award winning Manchester-based SaaS contact centre and customer experience platform (CCaaS).
FPE Capital LLP is a specialist lower mid-market growth investor within the UK, which focuses on the software and services sectors.
Pierce first met MaxContact and FPE Capital LLP at the end of February 2020 following an introduction from their lawyer, Nick Ducker over at Gunnercooke.
Making the process run smoothly
A tentative price had been suggested by the purchasing management team.
Pierce was able to offer expert advice within the first stage of work and onwards.
We arranged the preparation of a detailed valuation to support the clients’ price expectations and then agreement of that price and terms with the management team and their advisers.
This was followed by us undertaking a key role in the due diligence process, supporting clients and their existing accountants in satisfying the requirements of the reporting accountants for the private equity house funding the acquisition.
Subsequently detailed tax planning and structuring work was undertaken so as to provide a tax efficient structure for the transaction.
Supporting our clients
We were involved in supporting clients and Gunnercooke in relation to the sale and purchase agreement, warranties and disclosure letter, enabling completion to take place in early October 2020.
Ensuring our clients receive high quality service even throughout these challenging times with the current restrictions due to the pandemic is vital to us.
The majority of the work was undertaken after lockdown and the deal became essentially a virtual transaction, a true testament to our IT and support staff, ably led by Stuart Waddington our IT manager.
